Software License and Service Agreement — ROI Steward for Salesforce

1. License Grant

Subject to these terms and any applicable fees, we grant you a non-exclusive, non-transferable, revocable license to install, access, and use ROI Steward for Salesforce within your designated Salesforce organization. The license is limited to your internal business operations and the Salesforce Org ID registered at activation. You may not sublicense, resell, distribute, or make the application available to third parties; reverse engineer or decompile it; remove proprietary notices; or use it for any purpose other than as a Salesforce license and ROI optimization tool.

2. Ownership and Your Data

ROI Steward, including all code, metadata, and documentation, remains our property. You retain all rights to your data in your Salesforce org; we do not claim ownership of your data.

3. Payment and Billing

You agree to pay fees as specified in the applicable order or invoice. Unless otherwise agreed, invoices are due within 30 days. We may suspend access if payment is not received within the specified terms, after reasonable notice. Upon license or subscription expiry, a 14-day grace period may apply; after that, access may be disabled until a valid license is restored.

4. Licensing and Validation

ROI Steward can operate with online license validation (preferred) or offline licensing. When online validation is enabled, the application contacts our licensing service periodically to validate your subscription; only minimal data (e.g. Org ID, user count, package version) is used for that purpose. Organizations that do not permit any external communication can use offline licensing: we provide you with a license key by email, and you paste it into the application in your Salesforce org. No server calls are made in offline mode.

5. Data and Privacy

The application analyzes metadata and usage patterns within your Salesforce org. It does not access or transmit sensitive personal data or PII. When online validation is used, only data necessary for license compliance (e.g. Org ID, user count) is transmitted. No customer business data, records, or savings results are sent externally. Your data stays in your org.

6. Disclaimers

ROI Steward is provided "as is." We do not guarantee that every optimization opportunity will be identified or that all recommendations will be accurate or suitable for your situation. We are not affiliated with, endorsed by, or sponsored by Salesforce, Inc. The application has not been security-reviewed by Salesforce via the AppExchange process. We disclaim all warranties to the maximum extent permitted by law.

7. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability under these terms shall not exceed the fees you paid to us in the 12 months before the event giving rise to the claim.

8. Term and Termination

These terms apply from the effective date until terminated. Either party may terminate with 30 days’ written notice. On termination, your license ends and you should uninstall or disable the application from your Salesforce org within 14 days. Sections on ownership, disclaimers, liability, and data survive termination.
